Research Corporate governance failure
Objective:
To demonstrate that you are capable of researching and analysing an instance where a corporation did not comply with corporate governance requirements. Specifically, you will be assessed on your ability to research and analyse the corporate governance non-compliance in relation to:
- the areas of non-compliance, such as accounting standards and/or statutory and regulatory requirements
- the corporation's obligations and the reasons it occurred, and
- how it might have been avoided
Instructions and requirements:
Undertake your own research using the internet, newspapers or library resources to identify an instance in which a corporation failed to comply with its corporate governance requirements. Write a report that incorporates the following:
- Provide a summary of what happened and why, with specific reference to the areas of non-compliance.
- Describe the corporate governance requirements and obligations that were breached.
- Describe the internal control procedures, IT systems, reporting plans and/or management processes that could have been put in place to reduce or eliminate the likelihood of non-compliance.
- Provide a reference list of the articles or materials that you used in this part. The list should be presented using the Harvard referencing style.
Portfolio - Reviewing and monitoring corporate governance
Objective:
To demonstrate that you are able to prepare a portfolio of materials that could be used to monitor corporate governance activities.
Specifically, you will be assessed on your capacity to:
- identify and review the corporate governance standards, practices and requirements that would be relevant in the circumstances;
- identify, review and evaluate the company's internal control procedures, IT systems, reporting plans and management processes and to reach findings about improving them, and
- monitor and review internal control procedures and organisational processes.
Choose a corporation that interests you and write a report for the following. The corporation may be one in which you currently work, or it might be one from which you obtain services. Alternatively, it could be a company about which you have read, or which has been in the media lately.
1. Provide a brief summary of the corporation's background in respect of their mission and values, products and services, customers profile, organisational structures, business and financial performance.
2. Identify and analyse the specific corporate governance standards, practices, requirements and key result areas of the company with reference to company policies and practices, together with any queries from statutory and other regulatory authorities about compliance. (If you are unsure whether or not an obligation might apply, provide details together with the type of information you would require in order to reach a conclusion about whether or not it is relevant).
3. Provide details of any sources you could use to obtain information.
4. Analyse and evaluate the internal control procedures, IT systems, reporting plans and management processes utilised by the company to facilitate its compliance with corporate governance requirements.
- Do you consider these measures adequate and appropriate? Explain why/why not.
- If you determined that they should be amended or supplemented, explain the processes you would implement in their place.
5. Explain the steps you would take to review and monitor internal control procedures and organisational processes to ensure that corporate governance requirements are met.
6. Explain how you would analyse any compliance failures or near misses, and detail what changes you would make
