LEGAL PROTECTION OF MINORITIES:
According to decisions of English courts, companies are democratic organisations whose affairs are to be managed by the directors according to the provisions of the Companies Act, articles of association and the company's memorandum and, whereas a decision of the members is required, according to the decision of the majority of the company's members expressed as an ordinary or special resolution. The minority of members who have been outvoted during the passing of the relevant resolution must be prepared to abide by the decision of the majority of the company's members.
