Marx Corporation is incorporated in the state of Delaware, but all of the firm’s business is conducted within the state of New York. Sanders, a Delaware resident, is injured by one of Marx Corporation’s products and subsequently files suit against Marx Corporation in Delaware state court. Marx files a motion to dismiss the case on the ground that Delaware cannot assert jurisdiction over the corporation because it does not conduct business in Delaware; it is incorporated there only because it gained certain legal advantages from incorporating in that state. Explain why the Delaware state court system does or does not have jurisdiction over this case.
