Contract formation under the uniform commercial code


Problem: We discussed contract formation under common law rules. This week, we discussed contract formation under the Uniform Commercial Code. As we learned last week, there are very specific requirements under the common law for establishing formation of a formal contract. However, this week, we learned that under the UCC when the parties are merchants, many of the formal requirements for contract formation are different and somewhat less rigid. Why do you think this the case? Can you think of an example of a legal standard for contract formation that is different under the common law than the standard between merchants operating under the UCC?
